1. Acceptance of Terms

By accessing or using the payment gateway services, website, and related applications (collectively, the “Service”) provided by Global Flow IT Solutions (referred to as “Global Flow IT Solutions,” “we,” “us,” or “our”), you (“Merchant,” “you,” or “your”) agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree to all of these Terms, you may not use the Service.

2. The Global Flow IT Solutions Service

Global Flow IT Solutions provides a secure payment gateway that enables merchants to accept electronic payments from their customers via various channels, including credit/debit cards, mobile wallets, and bank transfers, and facilitates the subsequent settlement of those funds to the Merchant’s designated bank account in Pakistan.

3. Merchant Obligations and Representations

By using the Service, you represent and warrant that:

Legal Compliance: You are a legally registered business or individual authorized to conduct business in Pakistan and you will comply with all applicable laws, regulations, and SBP directives.
Permitted Use: You will only use the Service for the sale of goods and services that are legal, not prohibited by these Terms, and not listed as restricted in our Acceptable Use Policy (a document that must be created and referenced separately).
Accurate Information: All information provided to us during the onboarding and ongoing operation of your account (including business details and KYC documentation) is accurate, current, and complete.
Security: You will maintain the security of your account credentials, API keys, and all related technical access. You will immediately notify us of any unauthorized use or security breach.
Customer Communication: You will clearly and accurately communicate your delivery, return, refund, and cancellation policies to your customers.

4. Fees, Settlement, and Taxes

Fees: You agree to pay the fees for the Service as agreed upon in a separate written agreement or schedule of fees provided by Global Flow IT Solutions. Fees are typically transaction-based (a percentage or fixed amount) and are deducted prior to settlement.
Settlement: Funds collected, less our applicable fees and any chargebacks or refunds, will be settled to your nominated bank account according to the agreed-upon settlement schedule (e.g., daily, T+1, T+2).
Taxes: You are solely responsible for calculating, collecting, reporting, and remitting all taxes (including sales tax, GST, or income tax) associated with the sales conducted through the Service.

5. Chargebacks, Refunds, and Reserves

Chargebacks: You are solely responsible for all customer chargebacks. We will manage the process, but if a chargeback is successful, you authorize us to immediately debit the chargeback amount, plus any associated fees, from your settlement funds or bank account.
Refunds: You must process all customer refunds through the Service. We reserve the right to debit your account for the amount of any refund processed.
Reserves: We reserve the right, at our discretion and in compliance with regulatory guidelines, to hold a reserve against your settlement funds to cover potential chargebacks, fees, or other liabilities. We will inform you if a reserve is required.

6. Intellectual Property

The Service, including all proprietary content, software, graphics, and our trademarks (including “Global Flow IT Solutions”), are the exclusive property of Global Flow IT Solutions and its licensors. Your use of the Service grants you no rights to use our intellectual property without our express written consent.

7. Termination

By Global Flow IT Solutions: We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms or the Acceptable Use Policy.
- High chargeback rates or excessive fraud activity.
- Non-compliance with regulatory requirements.
- Any activity that poses a financial risk to us or our financial partners.
By Merchant: You may terminate your account with written notice to us.
Effect of Termination: Upon termination, your right to use the Service will immediately cease. All outstanding fees and liabilities will become immediately due and payable.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLOBAL FLOW IT SOLUTIONS, ITS AFFILIATES, DIRECTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, THE SERVICE. IN NO CASE SHALL GLOBAL FLOW IT SOLUTIONS’ TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT OF FEES PAID BY YOU TO GLOBAL FLOW IT SOLUTIONS FOR THE SERVICE DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Global Flow IT Solutions makes no representations or warranties of any kind, express or implied, as to the operation of the Service, the information, content, or materials included therein, or that the Service will be uninterrupted, timely, secure, or error-free.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes, controversies, or claims arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts located in [Insert City/Jurisdiction in Pakistan, e.g., Karachi or Islamabad].

11. Changes to Terms
